These Terms of Service (“Terms”) govern your use of ShypConnect (the “Service”), operated by ShypConnect (“we”, “us”, “our”).
By creating an account, or by using the Service, you confirm that you have read these Terms, that you agree to them, and that you have the authority to accept them on behalf of the business you are registering. If you do not agree, do not use the Service.
1. Definitions
- Account
- The workspace created when you register. It belongs to a business, not to a person, and it owns the parcels, credits, billing history and webhook configuration recorded under it.
- Credit
- The unit in which the Service is metered. One credit permits the registration of one parcel for tracking.
- Parcel
- A consignment you register with us by supplying its tracking number and courier, so that we may follow its progress.
- Endpoint
- The HTTPS URL on your own systems to which we deliver status events. You control it; we only send to it.
- Event
- A message we send to your Endpoint when a parcel's status changes to one you have asked to be told about.
- Recipient Data
- Information about the people your parcels are addressed to: phone numbers you supply, and names, addresses and checkpoint details that couriers return to us.
2. What the Service does, and what it does not
The Service does three things:
- It registers a parcel with our tracking provider using the tracking number and courier you supply.
- It follows that parcel and records its status as the courier reports it.
- When the status changes to one you have chosen, it sends a signed message to your Endpoint.
We do not send messages to your customers. We deliver an Event to your own systems, and what happens next is entirely yours to decide, build and operate: whether a WhatsApp message, an SMS, an email or nothing at all is sent, in whose name, and with what content.
This distinction matters and it is not a technicality. Every obligation attaching to messages sent to your customers rests with you: consent, opt-out, sender registration, TRAI and DLT requirements, the content of the message, and the platform policies of WhatsApp or any other channel you use. We are not a party to those communications and are not in a position to control them.
3. Eligibility and your account
- The Service is offered for business use. It is not intended for personal or household use.
- You must be at least 18 years old and legally capable of entering into a contract.
- You must give accurate registration details, including a business name and a working email address, and keep them current.
- Your email address must be verified before a plan can be purchased.
- You are responsible for everything done under your account, and for keeping your password confidential. Tell us promptly if you believe it has been compromised.
An account is scoped to one business. Registering several accounts to work around plan limits, or sharing one account's credentials across unrelated businesses, is not permitted.
4. Credits
Credits are the unit the Service is metered in. They are a licence to use the Service, not money, not a stored-value instrument, and not transferable between accounts.
How a credit is spent
A credit is reserved when you submit a parcel and spent when our tracking provider accepts the registration. If the registration is rejected, the credit is released and your balance is unchanged. Adding more phone numbers to a parcel costs nothing further.
When a credit comes back
- A parcel the courier never scans. If no courier scan is recorded for a parcel within 7 days of registration, we return the credit to your balance automatically. This is the ordinary remedy for a mistyped tracking number.
- A parcel you delete before it is scanned. Deleting a parcel that the courier has not yet scanned returns its credit and frees the tracking number to be registered again. Once a parcel has been scanned the credit has been used and is not returned.
Expiry
- Plan credits, the allowance included with your subscription, are granted at the start of each billing period and expire unused at the end of that period. They do not roll over.
- Purchased credits, extra credits you buy as a one-off add-on, do not expire at the end of a billing period. They carry forward for as long as your subscription remains active.
- Where an account holds both, plan credits are always spent first, so that the credits with an expiry date are used before the ones without.
- Credits do not survive the closure of an account, and are not exchangeable for money. See our Refunds & Cancellation Policy.
5. Plans, fees and taxes
- Current plans and prices are shown on our pricing page and on the subscription screen inside the Service.
- All prices are in Indian Rupees (INR). GST is charged in addition to the listed price and is shown separately at checkout and on every entry in your payment history.
- Subscriptions are billed in advance and renew automatically at the start of each billing period until cancelled.
- Payments are collected through Razorpay. By subscribing you authorise recurring charges to your chosen payment method. We do not receive or store your card details.
- Extra credit packs are one-off purchases, charged when bought, and are offered only once your current period's plan allowance has been used.
- You are responsible for the accuracy of the GSTIN you provide. We raise tax invoices against the details on your account.
Price changes
We may change our prices. A change never applies retroactively and never changes what you are charged for a period you have already paid for. Existing subscriptions continue at the price they were bought at until the subscription is changed or renewed against the new price.
6. Failed payments and suspension
If a renewal payment fails, your account is marked past due. From that moment you cannot register new parcels. Parcels already being tracked continue to be tracked, and Events continue to be delivered to your Endpoint, for a grace period of 7 days.
If payment is not completed within that grace period, delivery of Events is suspended. Your data is retained and the account is restored when payment succeeds.
7. Your responsibilities
- Consent for the data you give us. You must have a lawful basis for supplying us with the phone numbers and other details of your customers, and for having status updates about their parcels sent to your systems. You warrant that you do.
- Accuracy. Tracking numbers and couriers are registered with a third-party provider and cannot be edited afterwards. Registering the wrong one spends a credit; the remedy is set out in section 4.
- Your Endpoint. Keeping it available, served over HTTPS, and able to accept our requests is yours. So is verifying the signature we send with every Event. It is the only thing that distinguishes a message from us from a message from anyone else.
- Your signing secret. Treat it as a password. Rotate it if you believe it has been exposed. We show it once and cannot show it again.
8. Acceptable use
You must not use the Service to:
- break any law, or facilitate the shipment of goods whose shipment is unlawful;
- send, or enable the sending of, unsolicited commercial messages, or messages to people who have opted out or are registered on a do-not-disturb list;
- track consignments you have no legitimate connection to, or use the Service to monitor a person;
- attempt to gain unauthorised access to the Service, another customer's data, or the systems it runs on;
- probe, load-test, scrape or reverse-engineer the Service, or circumvent its rate limits, metering or authentication;
- resell or sublicense access to the Service without our written agreement;
- interfere with the Service's operation or place an unreasonable load on it.
We may suspend an account immediately, without notice, where we reasonably believe this section has been breached, or where continued operation poses a risk to the Service, to other customers, or to anyone's data.
9. Third-party services and courier data
The Service depends on third parties: a tracking provider that talks to couriers, a payment gateway, an email provider and a hosting provider. They are listed in our Privacy Policy.
Tracking information originates with couriers and we cannot verify it. Statuses may be delayed, incomplete, out of order, or wrong; a courier may scan a parcel late, not at all, or record a delivery that did not happen. We pass on what we are told. We do not warrant that tracking information is accurate, timely or complete, and you should not use it as the sole basis for a decision that carries consequences for you or your customers.
We are not responsible for the acts or omissions of couriers, or for the loss, delay or damage of any consignment. We are not a carrier and we do not handle your goods.
10. Availability and support
We aim to keep the Service available continuously, but we do not guarantee uninterrupted operation. Maintenance, third-party failures and circumstances beyond our control can all interrupt it. Where planned maintenance requires downtime we will give reasonable notice.
Event delivery is retried on failure, up to 6 attempts spread over roughly a day, and every attempt is recorded on your Webhook deliveries screen, where you can also retry manually. An Event that cannot be delivered within that window is marked failed and is not retried automatically thereafter.
Support is available by email at hello@owlsy.dev during our published hours. See Contact us.
11. Intellectual property
The Service, its software, design and documentation remain ours. Nothing in these Terms transfers ownership of them. You are granted a non-exclusive, non-transferable right to use the Service during your subscription, for your own business purposes, subject to these Terms.
Your data remains yours. We use it only to provide the Service and as described in our Privacy Policy.
12. Confidentiality
Each of us may learn confidential information about the other. Neither will disclose it to anyone else except to those who need it to perform this agreement and are bound to keep it confidential, or where disclosure is required by law.
13. Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranty of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement.
We do not warrant that the Service will be uninterrupted or error-free, that every status change will be detected, or that every Event will be delivered.
14. Limitation of liability
To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill, business opportunity or data, however caused.
Our total aggregate liability arising out of or in connection with these Terms, whether in contract, tort or otherwise, is limited to the fees you actually paid us in the three months immediately before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence.
15. Indemnity
You will indemnify us against claims, losses and reasonable costs arising from your use of the Service in breach of these Terms, from the content of messages you send to your customers, or from your not having had the right to give us the Recipient Data you supplied.
16. Suspension and termination
- You may cancel your subscription at any time. Cancellation takes effect at the end of the period you have already paid for. See the Refunds & Cancellation Policy.
- We may suspend or close an account for breach of these Terms, for non-payment, or where required by law.
- On closure, tracking stops, Event delivery stops, and unused credits lapse without refund.
- You may ask us for a copy of your data before closure, and we will provide it in a machine-readable format within a reasonable time.
- Sections that by their nature should survive termination do: confidentiality, liability, indemnity and governing law.
17. Changes to these Terms
We may revise these Terms. The date at the top of this page shows when they were last changed. Where a change is material we will give notice by email to the address on your account, or in the Service, before it takes effect. Continuing to use the Service after that constitutes acceptance. If you do not accept a change, you may cancel.
18. General
- Assignment. You may not assign this agreement without our written consent. We may assign it as part of a merger, acquisition or sale of assets.
- Entire agreement. These Terms, with the policies they link to, are the whole agreement between us on this subject.
- Severability. If a provision is held unenforceable, the rest continues in force.
- Waiver. Not enforcing a right on one occasion does not waive it.
- Force majeure. Neither party is liable for a failure caused by something genuinely beyond its reasonable control.
19. Governing law and jurisdiction
These Terms are governed by the laws of India. The courts at Surat, India have exclusive jurisdiction over any dispute arising from them.
20. Contact
Questions about these Terms can be sent to hello@owlsy.dev, or to the address on our Contact us page.
